These Terms of Service ("Terms") govern your access to and use of the website, platform, and services provided by Peak Logic Roofing AI ("we," "us," or "our") at peaklogicroofingai.com. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

Peak Logic Roofing AI provides AI-powered lead generation, lead qualification, automated follow-up, and appointment booking services designed for residential roofing contractors ("Services"). The specific scope of Services provided to each client is governed by a separate service agreement entered into between Peak Logic Roofing AI and the client at the time of onboarding.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice to active clients.

2. Eligibility

Our Services are available to businesses operating in the residential roofing industry. By engaging our Services, you represent that:

• You are at least 18 years of age and legally capable of entering into a binding agreement
• You are authorized to act on behalf of the business you represent
• Your use of our Services will comply with all applicable laws and regulations
• The information you provide to us is accurate and complete

3. Market Exclusivity

We offer market exclusivity to qualifying clients, meaning we will not provide the same Services to a competing roofing contractor operating in your agreed service area. Market exclusivity is subject to the following conditions:

• Exclusivity applies only to the specific geographic service area agreed upon in your service agreement
• In large metropolitan areas, the service area may be defined by zone, neighbourhood, or sub-region at our reasonable discretion
• Exclusivity is contingent on the client remaining in good standing under the service agreement
• We reserve the right to define service area boundaries reasonably based on population, geographic size, and business viability

Questions about market exclusivity for your specific area will be addressed during your strategy call and documented in your service agreement.

4. Client Responsibilities

To receive the full benefit of our Services, you agree to:

• Provide accurate and complete information during onboarding and throughout the service relationship
• Maintain adequate advertising budget as discussed and agreed during the strategy call
• Respond promptly to qualified leads delivered to your calendar or pipeline
• Maintain a functional, lawful roofing business in good standing in your operating jurisdiction
• Notify us promptly of any changes to your business, service area, or availability
• Comply with all applicable laws, including those governing consumer communications and the roofing industry

5. Advertising Spend

Paid advertising costs (including Facebook and Instagram ad spend) are separate from our service fees and are paid directly by the client to the advertising platform (Meta). We manage the campaigns on your behalf but do not mark up advertising spend or hold advertising funds. You maintain full ownership and visibility of your ad account at all times.

6. Results and Performance

We are committed to delivering high-quality, qualified leads and a professionally managed campaign. However, we do not guarantee specific outcomes including:

• A specific number of leads, appointments, or closed jobs
• A specific cost per lead or cost per acquisition
• A specific close rate or revenue outcome

Lead quality and conversion rates are influenced by factors outside our control, including your sales process, pricing, market conditions, and seasonal factors. We commit to ongoing optimization and transparent reporting.

7. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Peak Logic Roofing AI or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without prior written permission.

Lead data, conversation logs, and campaign data generated through your service account belong to you. You grant us a limited license to use this data solely for the purpose of delivering and improving our Services.

8. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with the service relationship, including business strategies, pricing, and client data. This obligation survives termination of the service agreement.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Peak Logic Roofing AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services, including loss of revenue, loss of business, or loss of data.

Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Peak Logic Roofing AI and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any applicable law or regulation.

11. Termination

Either party may terminate the service relationship in accordance with the terms of the individual service agreement. Upon termination:

• Your access to our platform and managed services will cease
• You retain ownership of your ad account and all campaign data
• Any outstanding fees owed will become immediately due
• Market exclusivity for your territory will no longer apply

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms will be resolved through good-faith negotiation between the parties. If negotiation fails, disputes will be submitted to binding arbitration in accordance with standard commercial arbitration rules.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes. Your continued use of our Services after changes are posted constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the most recent revision.
